Last Updated: September 10, 2026
Trade Framework: Incoterms® 2020
Governing Law: England & Wales
Commercial Overview

These terms apply to all wholesale transactions, container shipments, and distributor partnerships conducted with London Juice Company. By issuing a Purchase Order (PO), requesting a commercial quotation, or executing a proforma invoice, buyers agree to be bound by the clauses outlined below.

1. Scope, Definitions & Company Identity

These Terms and Conditions ("Terms") constitute a legally binding agreement between the buyer/importer ("Buyer", "Distributor", or "Customer") and London Juice Company ("Seller", "RAW COCO BURST", "we", "us", or "our"), operating from 3 Pentland Close, London, N9 0XN, United Kingdom.

These Terms supersede any prior verbal or written representations and govern all commercial quotations, sample dispatches, container production orders, and distributor licensing agreements.

2. Commercial Quotations & Proforma Invoices

All wholesale quotations, price lists, and freight estimates issued by our export desk are valid for 14 calendar days from the date of issuance, unless expressly stated otherwise in writing.

Order Formation:

A binding commercial contract is formed only when the Buyer signs and returns the formal Proforma Invoice (PI) and satisfies the agreed initial production deposit.

3. Minimum Order Quantity (MOQ) & Packaging Specifications

As a direct commercial beverage manufacturer and exporter, our standard supply parameters are structured around full freight efficiency:

Order Level Standard MOQ Flavour Allocation Lead-Time

4. Incoterms® 2020, Shipping & Delivery

Unless expressly agreed in writing on the Proforma Invoice, all international sea freight transactions are governed by the rules of the International Chamber of Commerce (Incoterms® 2020) [4, 5]:

FOB Free on Board Seller delivers goods on board the vessel nominated by Buyer at named port of shipment.
CIF Cost, Insurance & Freight Seller arranges freight and ocean cargo marine insurance to named destination port.
CFR Cost & Freight Seller pays for ocean freight to destination port; risk transfers upon vessel loading.
DDP Delivered Duty Paid Turnkey doorstep delivery inclusive of import duties (available for select UK & EU routes).

The Seller shall not be held liable for demurrage, port congestion delays, or carrier detention fees incurred once the container arrives at the destination discharge terminal.

5. Commercial Payment Terms & Banking

To ensure smooth manufacturing scheduling and raw material commitment, commercial payments are structured under standard international trade terms:

  • Telegraphic Transfer (T/T): Standard terms require 30% advance deposit upon Proforma Invoice confirmation, with the remaining 70% balance payable against presentation of original Bill of Lading (B/L) copies.
  • Letter of Credit (L/C): Irrevocable, confirmed Letter of Credit payable at sight issued by an internationally recognized top-tier bank (applicable for recurring multi-container contracts).
  • Currency: Unless otherwise specified, all pricing is denominated in British Pounds Sterling (GBP), United States Dollars (USD), or Euros (EUR).

6. Quality Assurance, Inspection & Warranty

We warrant that all products delivered under the RAW COCO BURST trademark comply with international food safety standards, manufactured under BRCGS Grade A, ISO 22000:2018, and HACCP protocols.

  • Shelf Life Guarantee: Products carry a minimum of 24 months ambient shelf life from the date of packaging when stored in cool, dry conditions.
  • Inspection & Notification: The Buyer must inspect all consignments upon container destuffing and notify the Seller in writing of any transit damage or defect within 14 calendar days accompanied by photographic evidence, batch numbers, and survey reports.

7. Customs Clearance, Duties & Local Compliance

The Buyer is solely responsible for ensuring that the imported beverage formulations, volume sizes, and packaging materials comply with the local food import regulations, labeling mandates, and sugar tax requirements of the destination jurisdiction.

The Seller shall provide standard export documentation: Commercial Invoice, Packing List, Bill of Lading, Certificate of Origin (COO), Health Certificate, and Certificate of Analysis (COA).

8. Intellectual Property & Brand Usage Rights

All trademarks, logos, can/bottle design artwork, marketing slogans, and digital media associated with RAW COCO BURST and London Juice Company remain the exclusive intellectual property of the Seller.

Authorized distributors are granted a non-exclusive, revocable license to use official promotional assets strictly within their contractually designated geographic territory for the duration of the distribution agreement.

9. Governing Law & Dispute Resolution

These Terms, and any commercial dispute or claim arising out of or in connection with them (including non-contractual disputes), shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute that cannot be resolved amicably within 30 days shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration (LCIA), seated in London, UK.
